AUSTIN – Licensees can now register certain LLCs and S-Corps with the Texas Real Estate Commission (TREC) to accept compensation.
The registered entity cannot perform any other brokerage activity and must be 51 percent owned by the licensee on whose behalf the entity receives compensation (click here for details about the new business entity registration).
LLC
To register an LLC, email one of the following documents to TREC after submitting application and payment online:
- Copy of Certificate of Formation or Certificate of Amendment(s) filed with the Texas Secretary of State, or
- Franchise Tax Account Status
Licensee must also submit evidence of ownership of at least 51 percent of the LLC. Examples include:
- Company Agreement
- Company Resolution
- IRS Schedule K-1
S-Corp
To register an S-Corp, both of the following documents are required:
- Copy of Certificate of Formation (or equivalent corporate filing from another state) or Certificate of Amendment(s) filed with the Secretary of State, and
- Copy of accepted IRS Form 2553 filed with the Internal Revenue Service or determination letter.
Licensee must also submit evidence of ownership of at least 51 percent of the LLC. Examples include:
- Stock Certificates
- Stock Ledger
- Corporate Resolution or Meeting Minutes
- IRS Schedule K-1
